About This Role
The Principal Export/Import Compliance Analyst will proactively oversee all export compliance matters for Textron Marine & Land located in Slidell, Louisiana. S/he will interact with employees at all levels and will work both independently and with other members of the business and members of the Legal, Contracts & Compliance Department staff on a variety of interesting international trade compliance matters. The role requires successful management of a broad range of responsibilities in a fast-paced, multi-tasking environment.
• May serve as an Empowered Official
• Provide a full range of proactive export compliance guidance to program management, contracts, procurement, business development, shipping, security and other functional areas within the Company
• Prepare and submit DDTC and Commerce license applications, Technical Assistance
• Assist in the research and interpretation of export compliance regulations
• Agreements, Manufacturing License Agreements and Warehousing Distribution Agreements
• Determine the applicability of ITAR exemptions, ECCNs and use of Commerce exceptions
• Work collaboratively with in-house attorneys and outside counsel to ensure compliance with applicable laws and regulations
• Support responses to Customs queries such as CF28s & CF29s.
• Provide support in connection with internal/external audits and investigations
• Track application status, maintain database of granted export approvals, satisfy record-keeping requirements, and prepare required reports
• Perform self-assessments
• Assist in maintaining up-to-date Export Compliance Policies, Procedures and Manuals
• Plan and conduct employee training
• Facilitate/Coordinate product reclassification as a result of export regulatory changes
• Other duties as assigned in the areas of export classifications, export/import compliance support, and product movement.
• Ability to back up I/E team as needed

About This Role
Textron Systems is currently seeking a Contracts Business Manager with seven to twelve years of contract experience. In addition to providing contract leadership, advice and support to management and programs teams, the candidate will be responsible for all aspects of contract management throughout the entire contracting process, from pre-proposal activities through contract closeout. In performing this role, the Contracts Business Manager will:
Responsibilities
- Serve as the primary customer interface and official point of contact for all contractual matters during all phases of contract formation and administration.
- Reviews terms and conditions to identify and recommend mitigation strategies for potential areas of risk, to include acceptance criteria, delivery requirements, warranty, intellectual property, termination provisions, indemnification and all other potential risk areas.
- Participate in bid/no bid decisions, provide guidance on proposal development strategies, participate in proposal color reviews, maintain cost or pricing data records for TINA compliance, support fact-finding and agency audits, and lead negotiation teams.
- Proactively manage and administer a variety of contracts (government/commercial, domestic/international) of all types (cost reimbursement, fixed price, incentive, award fee, IDIQ, T&M, etc.) and modifications thereto; prepare and coordinate business correspondence; generate required contract related reports; and maintain accurate and complete contract files and records for the company.
- Remain actively engaged with, and serve as an integral member of, assigned management and program teams. Develop strong interfaces with personnel in other functional areas and maintain close contact with appropriate levels of management as necessary to be effective. Participate in program reviews, monitor program performance (contract schedules, deliverables, funding, invoicing and payments), and notify program leaders and management of potential non-compliances or other problems that could have an adverse impact on the company. Recommend to program leaders and management contract solutions and strategies that will favorably impact the company.
- Identify, manage and negotiate contract changes, and coordinate resolution of contract issues internally and externally. Work with program leaders and management to ensure that an effective contract change management process is in place. Provide advice and guidance regarding conflict disputes and actively participate in resolution of these matters.
- Actively manage and oversee the process of closing out completed contracts.
- Ensure contract management activities are conducted in accordance with company policies and procedure, applicable laws and regulations, and customer requirements.
- Serve as an integral member of the Textron Systems Legal and Contracts organization and forge a close working relationship with Legal department members. Ensure coordination with Legal on contract matters that may have legal significance prior to advising management of contractual risks, rights and obligations, and terms and conditions interpretations.
- Actively pursue continuing education opportunities to remain abreast of industry trends and changes to contracting laws, regulations and practices.
- Identify opportunities for process improvement, applying Six Sigma principles and concepts where appropriate.
- Perform other contracts-related duties as assigned.

About This Role
Under limited supervision, performs complex and diverse administrative tasks for contracts associated with government, commercial and international customers. In performing this role, the Sr. Contracts Assistant will:
- Gather data, maintain logs, and prepare reports for both internal and external customers
- Ensure contract deliverables are accurately tracked and reported?
- Review incoming contract documents for accuracy and completeness, prepares and routes documents for approvals, enters approved data into the corporate database, and maintains accurate and complete contract files, databases, and records
- Update and maintain System for Award Management (SAM) for all Business Lines and site locations.
- Schedules and coordinates internal and external meetings and training seminars
- Supports process improvement initiatives through inception to execution
- Support audit teams and government inquiries by coordinating and preparing responses

The successful candidate will advise program leaders and business teams in support of all program and procurement activities within the applicable business. This position collaborates with leadership on strategy development, risk mitigation, and operational challenges, and directly engages with the Executive Leadership Team.
This position is a unique opportunity to build upon your skillset while providing a broad array of hands-on legal advice in the areas of U.S. Government contracting, as well as related transactional and compliance matters. The successful candidate will report to the Textron Systems Associate General Counsel and will work directly with his or her business counterparts, and other legal and compliance professionals. To enable this close collaboration, the position is required to be on-site at our Hunt Valley, MD or Wilmington, MA offices.
Responsibilities
· Work directly with business counterparts to identify legal risks and issues, such as those arising from solicitations, teaming agreements, licensing agreements, data rights, and Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) compliance. Develop risk mitigation strategies to support successful program execution.
· Draft contract language, perform legal review of contract terms and conditions, and assist with legal issues involving a wide variety of domestic and international agreements and contracts of all types (fixed price, cost reimbursable, incentive and award fee, IDIQ, T&M, OTAs, CRADAs, etc.) on significant business opportunities.
· Engage directly with subcontractor and customer legal counsel (both U.S. Government and commercial) on legal matters of high complexity and dollar value and lead the negotiation of subcontracts, strategic purchasing agreements, teaming agreements, and sales contracts.
· Advise and counsel internal business clients throughout the dispute resolution process, draft contractual notices, attend mediations, and prepare litigation strategies while collaborating with other members of the Legal team and outside counsel.
· Advise internal functional organizations as to various compliance obligations such as FAR mandatory disclosures and other contract compliance obligations.
· Provide advice and training on the FAR, DFARS, Uniform Commercial Code (UCC), and related laws and regulations affecting government and commercial contracting and compliance.
· Play a lead role in managing requests for equitable adjustments, claims, audits, and subpoenas, and provide support during compliance investigations.
· Support complex legal transactions for Textron Systems’ programs and businesses in the U.S. and abroad to include mergers and acquisitions, direct commercial sales, and foreign military sales.
· Facilitate clear communication, evaluation, and reporting of ongoing legal matters to support business objectives, resolve complex legal issues, and provide successful business partnership and risk mitigation.
· Play a key role in developing or revising legal policies and procedures, leading process improvement projects, and moving department initiatives forward.
· Collaborate with other attorneys and colleagues within the Legal Department, leveraging subject matter expertise across the team.

About This Role

- Support IP program including invention identification, freedom to operate analysis, IP strategy, etc.
- Support Competitor Monitoring
- Assist engineering resources with reviewing and analyzing industry patent portfolios to manage risk and gain competitive intelligence.
